Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the illustraFlow website and services (the "Service") operated by illustraFlow ("us", "we", or "our").

1. Definitions

• Service: Refers to the illustraFlow website, applications, content, and visualizers.
• Subscriber: The individual or legal entity that has purchased a subscription to the Service.
• Authorized User: An individual (such as an employee or contractor of a Subscriber) who is authorized by a Subscriber to use the Service.
• Content: Refers to all information, text, courses, videos, visualizations, and other material available through the Service.

2. Acceptance of Terms

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service. If you are using the Service on behalf of an organization, you are agreeing to these Terms for that organization and promising that you have the authority to bind that organization to these terms.

3. Accounts and Registration

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree to notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

4. Subscriptions and Payment

• Billing Cycle: Subscriptions are billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a monthly or annual basis, depending on the subscription plan you select.
• Automatic Renewal: At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or we cancel it. You may cancel your Subscription renewal through your online account management page.
• Payment: A valid payment method, including a credit card, is required to process the payment for your Subscription. You shall provide us with accurate and complete billing information.
• Price Changes: We, in our sole discretion and at any time, may modify the Subscription fees. Any Subscription fee change will become effective at the end of the then-current Billing Cycle. We will provide you with reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.
• Refunds: All fees are non-refundable, except as required by law or as explicitly stated in our Refund Policy.

5. License and Use of Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for your personal, internal business, or educational purposes.

You agree not to use the service for any of the following prohibited purposes:

• Reproducing, redistributing, or selling any Content from the Service without our explicit written permission.
• Using the Service for any unlawful purpose or for the promotion of illegal activities.
• Attempting to, or harassing, abusing, or harming another person or group.
• Attempting to interfere with the proper functioning of the Service.

6. Intellectual Property

The Service and its original Content, features, and functionality are and will remain the exclusive property of illustraFlow and its licensors.

7. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not to a breach of the Terms.

If you wish to terminate your account, you may do so by canceling your subscription and/or contacting us. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8. Limitation of Liability

In no event shall illustraFlow, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
